1. Introduction

HudumaPortal is an online services marketplace owned and operated by Tanzanite DigitalTech, a company registered in the United Republic of Tanzania under registration number 0000, with its registered address at Office H8, CRDB Building, Masika Street, Morogoro.

HudumaPortal provides digital tools that enable Clients and Service Providers to:

- Create and manage accounts;
- Advertise and discover services;
- Post and apply for jobs;
- Communicate through the Platform;
- Create bookings and appointments;
- Agree on project requirements;
- Make and receive qualifying payments;
- Deliver and review work;
- Manage milestones;
- Submit ratings and reviews;
- Participate in subscriptions, referrals and promotional programs; and
- Request customer support or dispute assistance.

These Terms govern your access to and use of:

- The HudumaPortal website;
- HudumaPortal mobile applications;
- HudumaPortal dashboards;
- HudumaPortal payment and wallet features;
- HudumaPortal communication systems;
- HudumaPortal referral and promotional programs; and
- Any related service operated under the HudumaPortal brand.



2. Acceptance of These Terms

By accessing, registering for, browsing or using HudumaPortal, you confirm that:

1. You have read and understood these Terms;
2. You agree to be legally bound by them;
3. You agree to comply with all policies incorporated into these Terms;
4. The information you provide is accurate and lawful; and
5. You have the legal capacity and authority required to enter into this agreement.

Where you use HudumaPortal on behalf of a company, organization or other legal entity, you confirm that you are authorized to bind that entity to these Terms.

Do not use HudumaPortal where you do not agree to these Terms.



3. Related Policies

The following policies form part of these Terms where applicable:

- Privacy Policy;
- Cookie Notice;
- Payments and Fees Policy;
- Subscription Policy;
- Cancellation Policy;
- Refund and Dispute Policy;
- Restricted Services Policy;
- Community Standards;
- Review Policy;
- Verification Policy;
- Referral Program Rules;
- Challenge Official Rules;
- Intellectual Property Complaint Policy;
- Provider Rules;
- Client Rules; and
- Any transaction-specific terms displayed before confirmation.

Where there is a conflict:

1. Applicable law takes priority;
2. The final transaction details accepted at checkout apply to that transaction;
3. The specific policy governing the matter applies;
4. These Terms apply;
5. Help Center explanations apply; and
6. Marketing or informal statements apply only where consistent with the above.



4. Definitions

In these Terms:

“Account” means a registered HudumaPortal user account.

“Booking” means a confirmed request to purchase or schedule a Service.

“Business Day” means a day other than a Saturday, Sunday or public holiday in Tanzania.

“Challenge” means a competition or promotional program administered through HudumaPortal.

“Client” means a User seeking, booking or paying for a Service.

“Client Content” means information, files, briefs, photographs, specifications or other material supplied by a Client.

“Community Standards” means HudumaPortal’s rules governing lawful, respectful and safe conduct.

“Custom Offer” means an offer created by a Service Provider for a particular Client.

“Deliverable” means work, material, information or another result that the Service Provider agrees to provide.

“Dispute” means a formal request for HudumaPortal to review a disagreement relating to a Booking, Project or Platform Payment.

“Fees” means platform fees, payment-processing fees, withdrawal fees, promotion fees, subscription charges and other disclosed charges.

“Job Post” means a Client’s request inviting Service Providers to submit applications or proposals.

“Milestone” means an agreed stage of a Project with a defined Deliverable, amount and deadline.

“Official Rules” means the published rules governing a particular Challenge, promotion or campaign.

“Platform” means the HudumaPortal website, mobile applications and related systems.

“Platform Balance” means an amount recorded in a User’s HudumaPortal account as pending, available, restricted, refunded or otherwise allocated.

“Platform Payment” means a payment initiated through an official HudumaPortal payment process.

“Project” means work created through a Booking, accepted proposal or Custom Offer.

“Protected Payment Hold” means the temporary holding or restriction of a Platform Payment until the applicable release, refund, cancellation or dispute condition is satisfied.

“Provider Content” means a Service Provider’s profile, Service Listing, proposal, portfolio, delivery or other submitted material.

“Service” means lawful work offered or supplied by a Service Provider.

“Service Listing” means an advertisement describing a Service available through the Platform.

“Service Provider” means an individual or business offering Services through HudumaPortal.

“Subscription” means a free or paid membership plan offered by HudumaPortal.

“User” means any person or organization accessing or using HudumaPortal.

“User Content” means content submitted by a User through the Platform.

“Verification Badge” means an indicator showing that HudumaPortal completed the particular verification step named on the badge.

“Wallet” means the Platform feature through which certain payments, earnings, refunds, cashback or rewards may be recorded.



5. Eligibility

To use HudumaPortal, you must:

- Be at least 18 years old;
- Have legal capacity to enter into a contract;
- Provide accurate registration information;
- Use the Platform for lawful purposes;
- Comply with Tanzanian law and any other law applicable to you;
- Not be prohibited from using the Platform by a court, regulator or other lawful authority; and
- Not have been permanently removed from HudumaPortal for serious misconduct unless HudumaPortal authorizes your return.

A person under 18 may not independently create or operate an Account.

HudumaPortal may request evidence of age, identity, authority or eligibility.



6. HudumaPortal’s Role

HudumaPortal operates as a marketplace and technology platform.

Unless HudumaPortal expressly states otherwise:

- Service Providers operate independently;
- Service Providers are not employees, agents, partners or representatives of HudumaPortal;
- Clients are not employers of HudumaPortal;
- HudumaPortal is not a party to the professional performance of a Service;
- HudumaPortal does not supervise every Service;
- HudumaPortal does not guarantee that a User will receive bookings, applications, income or particular results; and
- The contract to perform a Service is generally between the Client and the selected Service Provider.

HudumaPortal may provide:

- Search and matching tools;
- Communication tools;
- Payment facilitation;
- Protected Payment Holds;
- Account-verification tools;
- Reviews and ratings;
- Customer support;
- Moderation;
- Dispute assistance; and
- Marketplace enforcement.

HudumaPortal may remove content, restrict transactions or suspend Accounts where reasonably necessary to protect Users, enforce these Terms or comply with law.



7. Account Registration

You must create an Account to access certain Platform features.

You agree to:

- Provide accurate and complete information;
- Use your genuine identity or authorized business identity;
- Maintain a valid email address and telephone number;
- Keep your information updated;
- Complete required verification;
- Create only Accounts you are authorized to operate; and
- Select the appropriate account role.

You must not:

- Create a false identity;
- Impersonate another person or organization;
- Create deceptive duplicate Accounts;
- Purchase, sell or transfer an Account;
- Create Accounts to manipulate referrals, reviews, jobs, applications, votes or subscriptions;
- Register using stolen or unauthorized information; or
- Use an Account belonging to another person.

HudumaPortal may combine, restrict or close duplicate Accounts.



8. Account Security

You are responsible for maintaining the security of your Account.

You must:

- Use a strong and unique password;
- Keep login credentials confidential;
- Protect your registered email and telephone number;
- Sign out of shared devices;
- Review suspicious activity promptly; and
- Notify HudumaPortal immediately where you believe your Account has been accessed without authorization.

You must never disclose:

- Your Account password;
- Mobile-money PIN;
- Bank PIN;
- Card PIN;
- Card security code;
- One-time password;
- Secret recovery information; or
- Other private authentication credentials.

HudumaPortal support, Clients and Service Providers must not ask you to provide these credentials.

You are responsible for activity conducted through your Account unless the activity resulted from a security failure for which HudumaPortal is legally responsible.



9. Account Verification

HudumaPortal may require verification for reasons including:

- Account security;
- Payment processing;
- Withdrawal;
- Fraud prevention;
- Professional licensing;
- Business verification;
- Referral rewards;
- Challenge participation;
- Legal compliance; or
- Marketplace trust.

Verification may include:

- Email verification;
- Telephone verification;
- Identity verification;
- Selfie or liveness verification;
- Business registration documents;
- Address information;
- Professional licences;
- Tax information;
- Payment-account ownership; or
- Other proportionate information.

A Verification Badge confirms only the verification step named on that badge. It does not guarantee:

- Service quality;
- Future conduct;
- Professional performance;
- Financial stability;
- Safety; or
- A successful Project.

Providing false, altered or stolen verification material may result in immediate suspension and referral to relevant authorities.

10. Professional Qualifications and Licences

A Service Provider is responsible for holding all licences, registrations, permits, insurance and qualifications required for the Services offered.

This requirement is particularly important for regulated Services, including:

- Healthcare;
- Legal services;
- Financial services;
- Engineering;
- Construction;
- Electrical work;
- Security;
- Transportation;
- Real-estate services;
- Education or certification services; and
- Any other regulated profession.

A Client should review the applicable Verification Badge and may request reasonable evidence of current professional authority before hiring.

HudumaPortal may request, review, reject or remove professional documents but does not guarantee that every licence remains valid after verification.

11. Client Responsibilities

A Client must:

- Post accurate and lawful requirements;
- Select the correct category;
- Describe the expected Deliverables;
- Provide a realistic budget and deadline;
- Disclose whether the Service is online or on-site;
- Provide necessary information and access;
- Respond within a reasonable period;
- Pay through the approved Platform process;
- Review Deliverables in good faith;
- Request only revisions covered by the agreement;
- Approve properly completed work;
- Treat Service Providers respectfully; and
- Comply with applicable laws.

A Client must not:

- Post illegal, deceptive or discriminatory work;
- Request unpaid work disguised as a trial;
- Demand work outside the agreed scope without payment;
- Refuse payment for properly completed work;
- Abuse cancellation, refund or dispute procedures;
- Request false documents, fake reviews or platform manipulation;
- Require unlawful access to systems or information; or
- Use the Platform to harass or exploit another User.

12. Service Provider Responsibilities

A Service Provider must:

- Provide accurate profile information;
- Offer only Services they can lawfully and competently perform;
- Describe each Service clearly;
- Set accurate prices;
- Disclose all material limitations and costs;
- Use genuine portfolio material;
- Respond honestly to Client questions;
- Begin work only after the required payment confirmation;
- Deliver the agreed scope within the agreed period;
- Communicate foreseeable delays;
- Protect Client Content and confidential information;
- Correct work where an included revision is justified;
- Comply with professional and safety requirements;
- Avoid misleading qualifications or claims; and
- pay applicable taxes and business obligations.

A Service Provider must not:

- Publish false qualifications;
- Use stolen portfolio work;
- Advertise a misleading price;
- Add undisclosed charges;
- Mark incomplete work as delivered;
- Pressure Clients to approve deficient work;
- Request off-platform payment to avoid fees;
- Provide unlawful Services;
- Manipulate reviews or transactions; or
- Misuse Client information.

13. Service Listings

A Service Listing must contain sufficient and accurate information, including where relevant:

- A clear title;
- Correct category;
- Service description;
- Deliverables;
- Package contents;
- Price;
- Delivery period;
- Revisions;
- Client requirements;
- Online or on-site status;
- Service location;
- Travel costs;
- Material costs;
- Exclusions;
- Qualifications;
- Genuine photographs or portfolio examples; and
- Applicable cancellation conditions.

HudumaPortal may reject, edit, suspend or remove a Service Listing that:

- Contains false or misleading information;
- Uses an invalid price;
- Is duplicated;
- Is placed in the wrong category;
- Violates intellectual-property rights;
- Contains prohibited contact or payment instructions;
- Offers a Restricted Service;
- Contains poor-quality, meaningless or test content; or
- Creates legal, safety or reputational risk.

Publication does not mean that HudumaPortal guarantees or endorses the Service.

14. Jobs and Applications

Clients may post Jobs inviting Service Providers to apply.

A Job Post must be:

- Genuine;
- Lawful;
- Clear;
- Respectful;
- Properly categorized;
- Supported by a realistic budget;
- Accurate about location and delivery;
- Free from discriminatory or exploitative conditions; and
- Free from prohibited contact or payment instructions.

Service Providers must apply only where they have a genuine intention and reasonable capacity to complete the work.

Submitting an application does not guarantee selection or payment.

HudumaPortal may remove expired, misleading, duplicate, unlawful or inactive Job Posts.

15. Proposals and Custom Offers

A proposal or Custom Offer should state:

- Scope;
- Deliverables;
- Price;
- Delivery period;
- Number of revisions;
- Milestones, where applicable;
- Client requirements;
- Included costs;
- Excluded costs; and
- Any special condition.

A proposal becomes binding between the Client and Service Provider when:

- The Client accepts it;
- The required Platform Payment is confirmed; or
- Another Platform confirmation process establishes acceptance.

Any later change should be recorded through HudumaPortal.

16. Bookings and Appointments

A Client should review the following before confirming a Booking:

- Service Provider;
- Service description;
- Package;
- Price;
- Extras;
- Delivery period;
- Appointment date;
- Location;
- Client requirements;
- Revisions;
- Fees;
- Cancellation terms; and
- Final total.

The Client is responsible for selecting the correct package, date, location and options.

For on-site Services, the Client must provide a safe and accessible location.

For online Services, HudumaPortal should collect only the information reasonably necessary to complete the Service.

17. Communication

Users should keep important Project communication on HudumaPortal.

Platform communication may be used to determine:

- Scope;
- Price;
- Deadlines;
- Revisions;
- Delivery;
- Cancellation;
- Refunds; and
- Dispute outcomes.

Users must not use communication systems to:

- Harass;
- Threaten;
- Blackmail;
- Discriminate;
- Send spam;
- Distribute malware;
- Request confidential credentials;
- Share illegal content; or
- Promote off-platform fee avoidance.

HudumaPortal may review communications where reasonably necessary for support, safety, fraud prevention, dispute resolution or legal compliance, subject to the Privacy Policy.

18. Business Contact Information and Off-Platform Conduct

A Service Provider may display approved business contact information where their Subscription permits it.

Users may use external communication where reasonably necessary to:

- Confirm access to an on-site location;
- Participate in a video meeting;
- Exchange large files;
- Coordinate an appointment; or
- Communicate after a confirmed Booking.

However, where a relationship originated through HudumaPortal, Users must not move the transaction outside the Platform to:

- Avoid Fees;
- Avoid transaction records;
- Avoid safety controls;
- Avoid payment protections;
- Manipulate reviews; or
- Prevent HudumaPortal from enforcing its policies.

HudumaPortal may decline to assist with disputes arising from payments or agreements completed outside the Platform where adequate records are unavailable.

19. Prices and Currency

Unless otherwise stated:

- Prices are displayed in Tanzanian shillings;
- Service Providers set their own prices;
- Prices must be accurate and lawful;
- The final amount displayed before confirmation controls the transaction; and
- Undisclosed additional charges are prohibited.

A Service Provider must explain whether a price includes:

- Materials;
- Travel;
- Tax;
- Installation;
- Revisions;
- Delivery;
- Third-party costs; or
- Other expenses.

HudumaPortal may establish minimum or maximum prices, category guidelines or fraud controls.

A pricing or technical error may result in cancellation where the error is obvious and material. Where possible, the Client will be offered the choice to accept corrected terms or receive a refund.

20. Payment Methods

HudumaPortal may support payment through:

- Mobile money;
- Bank services;
- Payment cards;
- Wallet balance;
- Approved payment processors; and
- Other methods displayed during checkout.

Available methods may differ between:

- Client payments;
- Subscription payments;
- Refunds;
- Provider withdrawals; and
- Referral rewards.

The payment methods displayed during the current transaction are authoritative.

A payment is not complete merely because a User provides a screenshot. HudumaPortal or its payment provider must confirm the transaction.

21. Protected Payment Hold

When a Client makes a Platform Payment, the amount payable to the Service Provider may remain under a Protected Payment Hold.

The Service Provider should begin work only after HudumaPortal confirms the required payment.

Funds may remain restricted until:

- The Client approves the Deliverable;
- A review period expires;
- A Milestone is approved;
- The parties agree to release;
- A cancellation is processed;
- A refund is approved;
- A Dispute is resolved;
- Fraud review is completed; or
- Another lawful release condition is satisfied.

The expression “Protected Payment Hold” describes the Platform’s transaction process. It does not mean that HudumaPortal is a licensed bank or deposit-taking institution.

Platform Balances are not savings accounts and do not earn interest unless expressly stated.

22. Delivery and Client Review

A Service Provider must deliver through the approved Project process and provide the agreed Deliverables.

The Client should review a delivery promptly.

Unless a different period is displayed for the Project, the Client has three calendar days after delivery to:

- Approve the work;
- Submit a clear revision request covered by the agreement; or
- Open a Dispute.

HudumaPortal may send reminders during the review period.

Where the Client takes no action, HudumaPortal may automatically release payment after giving reasonable notice.

Automatic release will not occur where:

- A Dispute is open;
- Fraud is suspected;
- The Account is restricted;
- A payment reversal is pending;
- A valid extension applies; or
- A legal or safety investigation is active.

23. Revisions

A Client may request a revision where:

- The Service includes revisions; and
- The delivered work does not reasonably match the agreed requirements.

A revision request must:

- Be submitted within the review period;
- Identify the unmet requirement;
- Be specific;
- Relate to the original scope; and
- Be made in good faith.

A request for new work, added features, increased quantity or changed requirements may require:

- An additional Service;
- A Custom Offer;
- A revised deadline; or
- An additional payment.

A Service Provider is not required to perform unlimited work unless the applicable package expressly includes unlimited revisions, subject to fair use.

24. Delivery Extensions

A Service Provider should request an extension before the deadline where delay is reasonably expected.

The request should state:

- Reason;
- Additional time required;
- Effect on the Project;
- Updated delivery date; and
- Any requested scope adjustment.

The Client may approve or reject the request.

Repeated or unjustified delays may affect the Service Provider’s standing and may support cancellation or dispute action.

25. Additional Services and Scope Changes

A Service Provider must not add an undisclosed charge.

Where the Client requests work beyond the agreed scope, the parties should create:

- An additional Service;
- A Custom Offer;
- An additional Milestone; or
- A written scope amendment through the Platform.

Additional work should not begin until the new price and deadline are approved.

26. Milestones

Eligible Projects may use Milestones.

Each Milestone must specify:

- Deliverable;
- Amount;
- Due date;
- Review period;
- Dependencies; and
- Release conditions.

A Milestone payment may be released after:

- Client approval;
- Expiry of the applicable review period without a Dispute; or
- A HudumaPortal dispute decision.

A disputed Milestone remains restricted until resolved.

Acceptance of one Milestone does not automatically approve later Milestones.

HudumaPortal may limit Milestone access by Subscription, category, risk level or transaction value.

27. Platform Fees

HudumaPortal currently charges a Service Provider administration fee equal to 10% of the gross value of each successfully completed paid Project, unless a different rate is clearly displayed and accepted before the transaction.

Example:

- Gross Project value: TSh 100,000
- HudumaPortal administration fee: TSh 10,000
- Provider proceeds before other applicable charges: TSh 90,000

HudumaPortal may also charge:

- Payment-processing fees;
- Withdrawal fees;
- Subscription charges;
- Promotion charges;
- Optional job-posting charges;
- Other clearly disclosed fees.

Every applicable charge must be disclosed before the User confirms the relevant transaction.

28. Job-Posting Fees

A standard Job Post is currently free.

Optional paid promotion may include:

- Featured Job Post; and
- Urgent Job Post.

The current rate and duration will be displayed before purchase.

Paid promotion may increase visibility but does not guarantee:

- Applications;
- Qualified applicants;
- A successful hire;
- Project completion; or
- A specific search position.

29. Withdrawals

A Service Provider may request withdrawal of eligible available earnings using a supported method.

The current published minimum withdrawal amount is TSh 10,000, unless a different amount is displayed before the request.

Available withdrawal methods may include:

- M-Pesa;
- Mix by Yas or the currently displayed equivalent;
- Airtel Money;
- NMB;
- CRDB; and
- Other supported methods.

The current published withdrawal charges are generally:

- Mobile money: approximately 1%–3%; and
- Bank transfer: TSh 1,000.

The exact charge displayed before confirmation controls the request.

Eligible withdrawals are normally processed within approximately eight hours. This is an estimate and not a guaranteed completion period.

A withdrawal may be delayed because of:

- Verification;
- Incorrect details;
- Dispute;
- Fraud review;
- Payment-provider delay;
- Technical failure;
- Weekend or public holiday;
- Account restriction;
- Regulatory review; or
- Another reasonable cause.

HudumaPortal may reject or reverse a withdrawal where the balance is invalid, duplicated, fraudulent, disputed or otherwise unavailable.

30. Taxes

Users are responsible for identifying, reporting and paying taxes, duties, levies and statutory contributions applicable to their activities.

Service Providers operate independently and are responsible for:

- Income tax;
- Business taxes;
- Licences;
- Social-security obligations;
- VAT where applicable;
- Withholding obligations; and
- Other legal requirements.

HudumaPortal may issue transaction or earning statements and may collect or report tax information where required by law.

Nothing on the Platform constitutes personal tax advice.

31. Subscriptions

HudumaPortal may offer:

- Basic;
- Starter;
- Professional;
- Premium;
- Premium Plus;
- VIP; and
- Other plans introduced from time to time.

Current prices, durations and included benefits are displayed on the Subscription Plans page and before checkout.

The price and benefits accepted at checkout apply during the purchased term.

HudumaPortal may offer one-, three- or six-month terms.

Before payment, the Platform should display:

- Plan;
- Duration;
- Monthly rate;
- Discount;
- Total payable;
- Start date;
- Expiry date;
- Renewal status; and
- Key benefits.

32. Subscription Renewal

Subscriptions do not automatically renew unless the User expressly enables automatic renewal.

Where automatic renewal is enabled:

- The renewal amount will be disclosed;
- HudumaPortal may send a reminder;
- The User may disable future renewal;
- A failed renewal does not automatically create a debt; and
- The Account may return to the Basic plan when the paid term expires.

Cancellation of renewal does not immediately terminate the current paid term.

33. Subscription Cancellation and Refunds

A User may cancel future renewal through the available settings or customer support.

Cancellation normally takes effect at the end of the paid term.

Subscription payments are normally non-refundable after activation and use.

A full or partial refund may be considered where:

- A duplicate charge occurred;
- The payment was unauthorized;
- The plan failed to activate;
- HudumaPortal materially misrepresented the plan;
- A substantial technical failure prevented reasonable use;
- The User requested cancellation within 24 hours and had not used a paid benefit; or
- Applicable law requires a remedy.

HudumaPortal may deduct the reasonable value of benefits already used where legally permitted.

34. Upgrades and Downgrades

An upgrade may take effect immediately.

HudumaPortal may apply unused subscription value proportionally toward the upgraded plan.

A downgrade normally takes effect after the current paid term ends.

Monthly allowances may include:

- Service Listings;
- Job applications;
- Promoted listings;
- Portfolio projects;
- Notifications;
- Analytics; and
- Other plan benefits.

Unless expressly stated otherwise:

- Allowances reset at the start of each monthly cycle;
- Unused allowances do not carry forward; and
- Unlimited features remain subject to fair use, quality controls and anti-spam rules.

35. Administration-Fee Cashback

Certain plans may offer cashback on HudumaPortal administration fees.

Cashback is calculated as a percentage of the HudumaPortal fee, not the gross Project value.

Example:

- Gross Project: TSh 100,000
- Administration fee: TSh 10,000
- Cashback at 20% of the fee: TSh 2,000

Cashback becomes eligible only after:

- Completion;
- Payment release;
- Expiry of applicable refund or dispute controls;
- No chargeback being pending; and
- Fraud checks being completed.

Cashback may be reversed following:

- Refund;
- Payment reversal;
- Chargeback;
- Fake transaction;
- Account abuse; or
- Program manipulation.

The Subscription Plans page or applicable rules will state whether cashback:

- Can be withdrawn;
- Can pay for a Subscription;
- Expires; or
- Is subject to a maximum.

36. AI-Assisted Features

HudumaPortal may provide artificial-intelligence tools to assist with:

- Service descriptions;
- Proposals;
- Job descriptions;
- Recommendations;
- Search;
- Customer support;
- Translation; or
- Other Platform functions.

AI-generated content may be incomplete, inaccurate or inappropriate.

The User remains responsible for reviewing and correcting content before using or publishing it.

A User must not use AI tools to:

- Create false qualifications;
- Impersonate another person;
- Produce illegal content;
- Infringe intellectual-property rights;
- deceive Clients or Service Providers; or
- avoid professional responsibilities.

AI responses do not constitute legal, medical, financial or other professional advice.

37. Cancellation of Services

A Client may ordinarily cancel for a full refund before:

- The Service Provider accepts the Booking; or
- Work begins.

After acceptance but before work begins, a reasonable and documented non-recoverable cost may be deducted, including approved:

- Materials;
- Travel;
- Permit;
- Venue;
- Third-party reservation; or

After work begins, a fair outcome may include:

- Payment for properly completed work;
- Payment for approved materials;
- Refund of the unearned amount;
- Revised delivery; or
- Another agreed resolution.

Where the Service Provider cancels, the Client is entitled to the unearned amount.

Detailed rules are contained in the Cancellation Policy.

38. Appointment No-Shows

Users must attend confirmed appointments or provide reasonable notice.

A Client no-show may result in:

- Rescheduling;
- Loss of an approved travel or attendance cost;
- Partial payment;
- Cancellation; or
- Another outcome stated before booking.

A Service Provider no-show may result in:

- Full or partial refund;
- Rescheduling;
- Account-performance consequences; or
- Disciplinary action.

Evidence may include:

- Platform messages;
- Location records where lawfully collected;
- Time-stamped photographs;
- Call records;
- Venue records; or
- Other reliable information.

39. Refunds

A full refund may be considered where:

- The Service was not provided;
- The provider abandoned the Project;
- The work has no reasonable value;
- The Service was materially misrepresented;
- The Service was unlawful or unsafe;
- A required professional licence was missing;
- Fraud occurred;
- The payment was unauthorized; or
- Applicable law requires a refund.

A partial refund may apply where:

- Part of the work was properly completed;
- An accepted Milestone has value;
- Approved materials were provided;
- The Client keeps usable Deliverables; or
- The parties agree on a fair adjustment.

Approval and payment release normally complete the transaction. However, a later claim may still be reviewed where there is evidence of:

- Fraud;
- Unauthorized approval;
- Account compromise;
- Concealed material defects;
- Serious misrepresentation;
- Unlawful Service; or
- A legal right that cannot be excluded.

40. Disputes

Before opening a formal Dispute, Users should attempt to resolve the matter professionally through HudumaPortal communication.

A Dispute should include:

- Project or Booking number;
- Agreed scope;
- Deliverables;
- Price;
- Deadline;
- Relevant messages;
- Files;
- Evidence of work;
- Payment information;
- Requested outcome; and
- Any other useful evidence.

HudumaPortal may request information from either party.

Disputed funds may remain under a Protected Payment Hold.

Possible outcomes include:

- Full payment release;
- Partial payment;
- Full refund;
- Partial refund;
- Revision;
- Delivery extension;
- Milestone adjustment;
- Cancellation; or
- Another fair outcome.

Failure to cooperate may result in a decision based on available evidence.

41. Dispute Appeals

A User may appeal a Dispute decision within seven calendar days after receiving it.

An appeal should identify:

- The original decision;
- Reason for disagreement;
- Material error;
- New or overlooked evidence; and
- Requested outcome.

Where reasonably possible, the appeal will be reviewed by a person who did not issue the original decision.

HudumaPortal’s internal appeal decision concludes the Platform process but does not remove rights available under applicable law.

42. Payment Holds and Reversals

HudumaPortal may temporarily hold, restrict, refund or release funds where reasonably necessary to:

- Resolve a Dispute;
- Investigate fraud;
- Protect Users;
- Respond to a chargeback;
- Correct an error;
- Comply with a payment-provider request;
- Enforce these Terms; or
- Comply with law.

Funds will not be permanently retained without a documented contractual or legal basis.

A User must repay amounts received through:

- Duplicate payment;
- Technical error;
- Fraud;
- Chargeback;
- Reversal;
- Invalid referral;
- Fake transaction; or
- Another amount to which the User was not entitled.

HudumaPortal may deduct such an amount from an available Platform Balance where legally permitted.

43. Ratings and Reviews

Only an eligible User connected to a genuine transaction may submit a transaction review.

HudumaPortal may display a Verified Booking badge where the review is connected to a completed HudumaPortal transaction.

Reviews must be:

- Honest;
- Relevant;
- Respectful;
- Based on a genuine experience; and
- Free from prohibited personal information.

Users must not:

- Review themselves;
- Create fake bookings;
- Purchase or sell reviews;
- Exchange reviews;
- Offer undisclosed payment for a positive review;
- Threaten another User over a rating;
- Use duplicate Accounts; or
- Post knowingly false allegations.

HudumaPortal may remove a review where it:

- Was submitted fraudulently;
- Contains threats or hate speech;
- Reveals private information;
- Is unrelated to the transaction;
- Violates law;
- Infringes rights; or
- Was submitted by an ineligible User.

A negative review will not be removed merely because the reviewed User disagrees with it.

44. Portfolios

A Service Provider may upload genuine examples of work they are authorized to display.

The Service Provider must not upload:

- Work belonging to another person;
- Confidential Client material without permission;
- Copyrighted material without authorization;
- False performance claims;
- Personal information without consent; or
- Illegal or harmful content.

Where a Client owns or controls the work, the Service Provider must obtain appropriate consent before publishing it.

45. Referral Program

HudumaPortal may offer referral rewards under separate Referral Program Rules.

The reconciled qualifying structure may include:

- TSh 500 when a referred Service Provider publishes their first approved Service;
- An additional TSh 2,500 when that referred Service Provider purchases their first eligible paid Subscription; and
- TSh 1,000 when a referred Client completes their first eligible paid Service Booking.

No referral reward is earned merely because a Client:

- Downloads an application;
- Creates an unverified Account; or
- Posts a free Job.

Rewards may remain pending for at least 14 days and may be extended while a refund, payment or fraud review remains open.

Prohibited referral conduct includes:

- Self-referral;
- Duplicate Accounts;
- Fake signups;
- Fake Services;
- Fake Bookings;
- Shared-payment manipulation;
- Spam;
- Bots;
- Identity misuse;
- Misleading promotion; and
- Any attempt to manipulate attribution.

HudumaPortal may revoke invalid rewards and restrict related Accounts.

Material program changes will be announced before they apply where reasonably practicable. Valid rewards earned before the effective date will be honored unless obtained through fraud or abuse.

46. Challenges and Promotions

Each Challenge is governed by separate Official Rules.

Official Rules should state:

- Organizer;
- Eligibility;
- Entry period;
- Voting or judging period;
- Entry requirements;
- Winner-selection process;
- Prize;
- Winner-verification procedure;
- Announcement date;
- Intellectual-property conditions;
- Tax responsibility;
- Disqualification grounds;
- Tie-breaking method;
- Appeal procedure; and
- Modification or cancellation conditions.

Users must not manipulate a Challenge using:

- Bots;
- Purchased votes;
- Duplicate Accounts;
- False identities;
- Vote exchanges;
- Stolen work; or
- Misleading incentives.

Where no approved Challenge is active, HudumaPortal is not required to accept entries or provide previously advertised prizes.

47. Restricted Services

Users must not advertise, request, purchase or provide a Restricted Service.

Restricted Services include, without limitation:

- Human trafficking or exploitation;
- Counterfeit or stolen goods;
- Money laundering;
- Fraudulent financial services;
- Fake identification or certificates;
- Unauthorized hacking;
- Malware or credential theft;
- Adult or sexual services;
- Illegal drugs;
- Unauthorized medicines;
- False health claims;
- Weapons or explosives;
- Fraudulent investments;
- Pyramid or Ponzi schemes;
- Fake reviews;
- Blackmail or extortion;
- Unauthorized gambling;
- Unlicensed financial, legal or professional services;
- Hate, violence or discrimination;
- Animal cruelty;
- Misinformation campaigns;
- Unauthorized government or military services;
- Unlawful surveillance;
- Sale of personal data;
- Academic cheating;
- Exam impersonation;
- Deepfake impersonation;
- Spam services;
- Child exploitation;
- Forced labour;
- Account selling;
- Platform manipulation;
- Intellectual-property infringement; and
- Any activity violating Tanzanian law.

HudumaPortal may remove the content, restrict the Account, hold affected transactions, preserve evidence or report suspected illegal activity.

48. Harassment, Discrimination and Safety

Users must treat one another respectfully.

Prohibited conduct includes:

- Threats;
- Harassment;
- Stalking;
- Blackmail;
- Sexual harassment;
- Hate speech;
- Discrimination;
- Doxxing;
- Violence;
- Retaliation;
- Unsafe working conditions; and
- Exploitation of vulnerable persons.

A User should report immediate danger to the appropriate emergency or law-enforcement authority and may also report the Account to HudumaPortal.

HudumaPortal may act immediately where necessary for safety.

49. Intellectual Property

HudumaPortal and its licensors own the Platform, including its:

- Software;
- Brand;
- Logo;
- interface;
- Original text;
- Databases;
- Designs;
- Features; and
- Other protected material.

These Terms do not transfer HudumaPortal intellectual-property rights to Users.

You may not:

- Copy the Platform;
- Reverse engineer it;
- Scrape it without authorization;
- Circumvent security;
- Use the HudumaPortal brand deceptively;
- Create a confusingly similar service;
- Sell Platform data; or
- Use HudumaPortal content outside the permitted purpose.

50. User Content

You retain ownership of intellectual-property rights you hold in User Content.

By submitting User Content, you grant HudumaPortal a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, translate and distribute that content only as reasonably necessary to:

- Operate the Platform;
- Display the content to intended Users;
- Promote the applicable listing or profile;
- Provide support;
- Prevent fraud;
- Enforce policies; and
- Comply with law.

You confirm that:

- You own the content or have permission to use it;
- It does not infringe another person’s rights;
- It is not misleading;
- It does not unlawfully disclose personal information; and
- It complies with these Terms.

You may remove content subject to transaction records, legal retention and Platform integrity requirements.

51. Intellectual Property Complaints

A rights holder may report alleged infringement by providing:

- Contact information;
- Identification of the protected work;
- Identification of the disputed content;
- Basis of ownership or authority;
- Good-faith statement;
- Supporting evidence; and
- Signature or equivalent confirmation.

HudumaPortal may remove or restrict disputed content while reviewing the complaint.

A User who believes content was removed incorrectly may submit a response or appeal.

Repeated infringement may result in Account termination.

52. Confidentiality

Users must protect confidential information received in connection with a Project.

Confidential information may include:

- Business plans;
- Customer information;
- Credentials;
- Designs;
- Source code;
- Financial information;
- Personal data;
- Unpublished material; and
- Trade secrets.

A User may use confidential information only for the agreed Project.

Confidentiality does not apply to information that:

- Was already lawfully known;
- Becomes public without breach;
- Is independently developed;
- Is received lawfully from another source; or
- Must be disclosed by law.

Users should not request or disclose unnecessary sensitive information.

53. Personal Data and Privacy

HudumaPortal processes personal data according to its Privacy Policy and applicable law.

Personal data may include:

- Identity information;
- Contact information;
- Profiles;
- Messages;
- Job and Service information;
- Location;
- Transaction data;
- Payout details;
- Device information;
- Usage information;
- Verification material; and
- Support records.

Users must not use another person’s data for:

- Spam;
- Harassment;
- Identity fraud;
- Unauthorized marketing;
- Unlawful surveillance;
- Data resale; or
- Another incompatible purpose.

Privacy rights and request procedures are explained in the Privacy Policy.

Third-party services may be governed by their own terms and privacy policies.

HudumaPortal is not responsible for an external service’s independent acts except to the extent required by law.

56. Promotions and Advertising

HudumaPortal may offer paid visibility, promotional emails, social-media features, job promotions and other marketing tools.

Promotion may improve visibility but does not guarantee:

- Views;
- Clicks;
- Applications;
- Bookings;
- Income;
- Search position; or
- Project outcomes.

Users must ensure promotional claims are accurate and lawful.

HudumaPortal may reject advertising that is misleading, discriminatory, illegal or inconsistent with Platform standards.

57. No Guaranteed Earnings or Results

HudumaPortal does not guarantee that a Service Provider will receive:

- Jobs;
- Bookings;
- Applications;
- Reviews;
- Income;
- Profit;
- Promotion results; or
- Long-term Clients.

Results depend on factors including:

- Demand;
- Skills;
- Profile quality;
- Pricing;
- Experience;
- Response time;
- Location;
- competition;
- Customer satisfaction;
- Platform activity; and
- Compliance with these Terms.

58. Account Suspension and Restriction

HudumaPortal may restrict an Account or feature where reasonably necessary to investigate:

- Fraud;
- Account compromise;
- Prohibited Services;
- Payment risk;
- Harassment;
- Identity misrepresentation;
- Review manipulation;
- Referral abuse;
- Challenge manipulation;
- Intellectual-property infringement;
- Repeated cancellation;
- Serious complaints; or
- Another violation.

Restrictions may include:

- Removal of content;
- Prevention of new bookings;
- Holding withdrawals;
- Limiting communication;
- Suspending promotions;
- Requiring verification; or
- Temporary Account suspension.

Where appropriate, HudumaPortal will provide:

- Reason;
- Affected feature;
- Required corrective action; and
- Appeal method.

Immediate action may be taken where safety, fraud prevention or legal compliance requires it.

59. Account Termination

HudumaPortal may permanently close an Account for serious or repeated violations, including:

- Fraud;
- Illegal activity;
- Identity theft;
- Threats;
- Child exploitation;
- Payment manipulation;
- Repeated prohibited content;
- Serious professional misconduct;
- Referral or review fraud;
- Persistent fee avoidance;
- Security attacks; or
- Circumvention of a previous suspension.

Termination does not eliminate:

- Outstanding payment obligations;
- Refund rights;
- Tax obligations;
- Dispute responsibilities;
- Intellectual-property duties;
- Confidentiality; or
- Legal liability.

Eligible undisputed funds will be handled according to these Terms, applicable policies and law.

60. User Account Closure

A User may request Account closure.

Before closure, the User should:

- Complete or cancel active Projects;
- Resolve Disputes;
- Withdraw eligible funds;
- Pay amounts owed;
- Download necessary records; and
- Remove public content where available.

HudumaPortal may retain information required for:

- Transactions;
- Accounting;
- Tax;
- Fraud prevention;
- Disputes;
- Legal compliance;
- Enforcement; or
- Security.

Account closure does not automatically delete all records.

61. Platform Availability

HudumaPortal aims to provide a reliable Platform but does not guarantee uninterrupted operation.

Access may be interrupted by:

- Maintenance;
- Security updates;
- Infrastructure failure;
- Payment-provider issues;
- Telecommunications outages;
- Force majeure;
- Legal restrictions; or
- Other technical conditions.

HudumaPortal may modify, suspend or discontinue a feature.

Where a material paid feature is permanently discontinued, HudumaPortal may provide an appropriate credit, alternative or refund for the unused portion.

62. User Support

HudumaPortal may provide support relating to:

- Accounts;
- Verification;
- Bookings;
- Payments;
- Withdrawals;
- Subscriptions;
- Referrals;
- Safety;
- Technical problems; and
- Disputes.

Support representatives cannot:

- Guarantee a dispute outcome;
- Request a PIN or OTP;
- Modify applicable law;
- Create an undisclosed refund right;
- Promise earnings; or
- Override an approved policy without authority.

Support response periods may vary according to urgency and complexity.

63. Disclaimers

To the extent permitted by law:

- HudumaPortal is provided on an “as available” basis;
- HudumaPortal does not guarantee every User’s identity, conduct or professional performance;
- HudumaPortal does not guarantee the accuracy of all User Content;
- HudumaPortal does not guarantee a Service outcome;
- HudumaPortal does not guarantee continuous access;
- HudumaPortal does not guarantee earnings;
- HudumaPortal is not responsible for agreements completed outside the Platform without adequate records; and
- Users remain responsible for exercising reasonable judgment.

Nothing in these Terms excludes a guarantee, duty or remedy that cannot lawfully be excluded.

64. Limitation of Liability

To the maximum extent permitted by law, HudumaPortal will not be liable for indirect, incidental, special, punitive or consequential loss arising from:

- Loss of profit;
- Loss of opportunity;
- Loss of reputation;
- Loss of anticipated savings;
- Business interruption;
- Unauthorized off-platform transactions;
- User misconduct;
- Third-party services; or
- Content supplied by another User.

Where HudumaPortal is legally liable, its aggregate contractual liability arising from a particular transaction will ordinarily not exceed the greater of:

1. The Fees paid to HudumaPortal in connection with that transaction; or
2. The amount required under applicable law.

This limitation does not apply where liability cannot legally be limited, including where applicable to:

- Fraud;
- Wilful misconduct;
- Gross negligence;
- Death or personal injury;
- Unlawful personal-data processing; or
- Mandatory consumer rights.

65. User Indemnity

To the extent permitted by law, you agree to compensate HudumaPortal for reasonable losses, claims, penalties, costs or expenses arising from:

- Your unlawful use of the Platform;
- Your breach of these Terms;
- Your infringement of another person’s rights;
- Your false or misleading content;
- Your tax or licensing failure;
- Your professional misconduct;
- Your fraud; or
- A Service you provide or request.

HudumaPortal will notify you of a material claim and allow reasonable participation in the response where appropriate.

This clause does not require a consumer to indemnify HudumaPortal for HudumaPortal’s own unlawful conduct.

66. Force Majeure

A party will not be liable for delay caused by an event beyond reasonable control, including:

- Natural disaster;
- Flood;
- Fire;
- Epidemic;
- War;
- Civil disturbance;
- Government restriction;
- Transport shutdown;
- Telecommunications outage;
- Payment-network failure;
- Labour disruption;
- Security emergency; or
- Another comparable event.

The affected party must take reasonable steps to reduce the impact and communicate material delays.

Where performance becomes impossible, the parties should determine a fair cancellation, partial-payment or refund outcome.

67. Changes to the Platform

HudumaPortal may update:

- Features;
- Design;
- Categories;
- Payment methods;
- Subscriptions;
- Fees;
- Eligibility;
- Verification requirements; or
- Marketplace procedures.

Material changes affecting a paid transaction will be communicated before they apply where reasonably practicable.

A change will not normally apply retrospectively to reduce rights already attached to an accepted transaction.

68. Changes to These Terms

HudumaPortal may update these Terms to reflect:

- Changes in law;
- Product changes;
- Security requirements;
- Payment arrangements;
- Operational improvements; or
- Marketplace risks.

The updated Terms will display:

- New effective date;
- Version number; and
- Summary of material changes.

Where reasonably practicable, HudumaPortal will provide advance notice of material changes.

Emergency changes required for safety, fraud prevention or legal compliance may take effect immediately, with notice provided as soon as reasonably possible.

Continued use after the effective date constitutes acceptance of the updated Terms, except where separate express consent is legally required.

- Account information;
- Relevant transaction;
- Description;
- Evidence;
- Previous support reference; and
- Requested resolution.

Privacy complaints may also be submitted through the Privacy Policy process and to the applicable data-protection authority.

Consumer complaints may also be directed to an authority with lawful jurisdiction.

71. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania.

This includes applicable laws relating to:

- Contracts;
- Consumer protection;
- Electronic transactions;
- Competition;
- Personal data;
- Cybersecurity;
- Tax;
- Professional licensing; and
- Other relevant matters.

Nothing in these Terms prevents a User from exercising a mandatory right under applicable law.

72. Jurisdiction

Users and HudumaPortal should first attempt to resolve disputes through:

1. Direct communication;
2. HudumaPortal support;
3. The internal dispute process; and
4. The internal appeal process.

Where the matter remains unresolved, the courts of competent jurisdiction in [COURT LOCATION], Tanzania will have jurisdiction, unless applicable law allows or requires another forum.

This clause does not prevent a User from submitting a complaint to an authorized regulator or consumer-protection body.

73. Severability

Where a provision of these Terms is found invalid, unlawful or unenforceable:

- The remaining provisions will continue in effect; and
- The parties will interpret the Terms as closely as possible to the original lawful purpose.

74. No Waiver

Failure by HudumaPortal to enforce a provision immediately does not waive the right to enforce it later.

A waiver is effective only where confirmed in writing by an authorized representative.

75. Assignment

A User may not transfer an Account or rights under these Terms without HudumaPortal’s written approval.

HudumaPortal may transfer these Terms as part of:

- Corporate restructuring;
- Merger;
- Acquisition;
- Sale of business;
- Financing; or
- Transfer to an affiliated operator,

provided that applicable legal and privacy obligations are respected.

76. Entire Agreement

These Terms, the incorporated policies and the transaction-specific information accepted by the User form the entire agreement concerning use of HudumaPortal.

They replace previous versions concerning the same subject from the effective date.

A statement made by a User, support representative, advertisement or social-media post does not amend these Terms unless formally incorporated by an authorized written update.

77. Language

HudumaPortal may provide these Terms in English and Kiswahili.

Both versions should be prepared to communicate the same rights and obligations.

Where an inconsistency arises because of translation, the version designated during publication as legally controlling will apply, subject to applicable law.

HudumaPortal should clearly identify the controlling version.
